Disclosure requirements for Signficant Shareholders
Under the AIM Italia Rules whoever holds at least 5% of a class of financial instruments of Clabo Spa is a “significant shareholder”.
Exceeding the limit of 5% and reached or exceeded the thresholds of 5%, 10%, 15%, 20%, 25%, 30%, 35%, 32%, 50%, 66.6%, 75% , 90% and 95% constitute a “Substantial Change” which must be notified by Significant Shareholders to Clabo Spa.
Within five trading days, from the day in which it was carried out the operation that led to the Substantial Change, the Significant Shareholder must notify to Clabo Spa:
a. the identity of the Significant Shareholders involved;
b. the date when Clabo Spa has been informed;
c. the date when the change occurred Substantial investments;
d. price, amount and category of financial instruments involved Clabo Spa;
e. the nature of transaction;
f. the nature and extent of participation in the Significant Shareholder’s operation
